Munich/Cologne, 11 August 2026. Funds advised by Deutsche Private Equity (DPE) have signed an agreement to acquire a majority stake in FOGTEC Brandschutz GmbH from its founding shareholders and M Cap Finance Mittelstandsfonds. As part of the transaction, the management team will retain a significant stake in FOGTEC and continue to lead the company on its growth path. Completion is subject to approval by the relevant antitrust authorities. The financial terms of the acquisition have not been disclosed.

Founded in 1997 and headquartered in Cologne, FOGTEC Brandschutz GmbH is a leading, innovative and fast-growing provider of high-pressure water mist fire protection systems for buildings, industrial facilities, data centres, tunnels, railway stations and rolling stock. The technology disperses water at high pressure to create a fine mist that rapidly cools and suppresses fires while using up to 90 percent less water than conventional sprinkler systems—without chemical extinguishing additives and with significantly less consequential damage. FOGTEC’s offering ranges from nozzles, pumps and valves to sensors and control technology, as well as engineering, installation, maintenance and spare parts for turnkey fire protection systems. Its customers include international rolling stock manufacturers and rail operators, as well as operators of data centres, industrial facilities, special-purpose buildings and tunnels. With around 255 employees at locations across Europe, Asia and the Middle East, the company is targeting revenue of approximately €70 million for 2026.

DPE considers FOGTEC a highly attractive group operating in a market where fire protection is becoming increasingly critical to operational availability, asset preservation and sustainability. High-pressure water mist is growing significantly faster than the overall fire protection market as new fire risks emerge in data centres, battery storage facilities, energy infrastructure and modern trains, while stricter safety and environmental requirements are reducing the use of chemical extinguishing agents. FOGTEC addresses this demand through its own research and development, experience from more than 1,500 full-scale fire tests, 102 registered patents and participation in 13 national and international standards bodies—a combination of approvals, test data and references that clearly differentiates FOGTEC from its competitors.

DPE intends to support the company’s continued development as a strategic partner alongside the management team. The focus will be on expanding application-focused sales capabilities and the company’s international presence, growing the service and spare parts business based on its installed systems, and making further investments in research, development and approvals. Selective acquisitions that facilitate access to new markets and customers or broaden the company’s offering are intended to complement organic growth.

FOGTEC will continue to be led by its existing management team: founder Dirk K. Sprakel as Chairman of the Management Board, Rüdiger Kopp as Managing Director for Stationary Systems and Roger Dirksmeier as Managing Director for Rail Systems.

Dirk K. Sprakel, founder and Chairman of the Management Board of FOGTEC, said: “FOGTEC has expanded internationally since it was founded and has continuously developed new applications for water mist technology. For the next stage of our development, we were looking for a partner that takes a long-term view, understands our technical focus and supports our growth plans. DPE meets these requirements in every respect.”

Fabian Rücker, Partner at DPE, emphasised: “As a pioneer in high-pressure water mist technology, FOGTEC combines extensive technical expertise with a strong position in a growing market, making it an excellent fit with our investment approach. We were particularly impressed by the quality of the management team and its ability to extend the company’s technological leadership into new applications.”

Fabio Adjoudani, Director at DPE, added: “FOGTEC has leveraged its technological strength to build an international customer base, and we intend to develop this position in a targeted manner. We see significant potential in the service and spare parts business supported by the company’s large installed base, in fast-growing end markets such as data centres, and in further international expansion. Investments will therefore be made in sales, additional approvals and an organisation capable of sustaining this growth over the long term.”

Debt financing for the transaction is being provided by Ares.

DPE was advised by Strategy& (Commercial), Alvarez & Marsal (Financial & Tax), PwC (ESG), CMS (Legal), Pöllath + Partners (Structuring), Gleiss Lutz (Antitrust), Howden (W&I), Harris Williams (M&A) and Pava Partners (Debt).
